These General Terms of Use (the “Terms”) govern access to and use of the Finozio platform. By creating an account, connecting a Microsoft Environment, running an analysis or subscribing to a Plan, you accept these Terms on behalf of the company you represent, and you represent that you are authorized to bind that company. The purchase of a paid Plan is also governed by the general terms of sale (finozio.com/cgv).
The Service is reserved for business customers. If you are not authorized to bind your company, or if you do not accept these Terms, do not use the Service.
Article 1 — About Us
The Finozio platform is published by FINOZIO, a French simplified joint-stock company (société par actions simplifiée, SAS) with a share capital of €2,000, registered with the Paris Trade and Companies Register (RCS) under number 109 096 388, whose registered office is located at 47 rue Vivienne, 75002 Paris, France (“Finozio”, “we”, “us”). Intra-EU VAT number: FR21 109 096 388. Telephone: +33 7 67 50 33 39. Publication director: Younes Jedouane, President.
General inquiries: contact@finozio.com. Data protection: contact@finozio.com (no data protection officer is appointed). Website: finozio.com.
Finozio is an independent software publisher. Finozio is neither affiliated with nor endorsed by Microsoft Corporation. “Microsoft”, “Azure”, “Microsoft 365”, “Microsoft Entra” and “Copilot” are trademarks of Microsoft Corporation and are referred to solely to identify the environments the Service analyzes.
Article 2 — Definitions
In these Terms, the following capitalized terms have the meanings set out below:
“Customer”: the legal entity in whose name an account is created and which subscribes to a Plan. The Customer is responsible for all Users associated with its account.
“User”: any individual whom the Customer authorizes to access the Platform.
“Platform” or “Service”: the Finozio web application, its application programming interfaces, reports, alerts and the Aurora assistant, within the limits of the Plan subscribed to.
“Microsoft Environment”: the Microsoft Entra ID tenant(s), Azure subscription(s) and Microsoft 365 tenant(s) that the Customer connects to the Service.
“Connection Credentials”: the app registration (service principal) and the Microsoft Graph permissions that the Customer creates in its Microsoft Environment to allow the Service to read its data.
“Customer Data”: the data read from the Microsoft Environment (resource inventory, costs, usage metrics, license assignments, usage reports), together with the content provided by the Customer (questions submitted to Aurora, rules, settings, tags).
“Recommendations”: the findings, savings estimates and suggested actions generated by the Service from Customer Data.
“Aurora”: the Service’s conversational assistant. Aurora answers the Customer’s questions based on Customer Data and does not perform any action in the Microsoft Environment.
“Automation Rules”: the rules defined by the Customer’s administrators, available only in the Custom Plan, under which the Service performs, in the Microsoft Environment, actions determined in advance by the Customer.
“Plan”: each of the offerings described in Article 6.
“Privacy Policy”: the document available at finozio.com/politique-confidentialite, which describes the processing of personal data carried out by Finozio and forms an integral part of these Terms.
“Documentation”: the Plans page, the help center and the feature descriptions published by Finozio, which specify the scope and limits of each Plan.
Article 3 — Our Service
Finozio is a FinOps platform: it reads data from your Microsoft Environment, identifies Azure and Microsoft 365 spending that does not reflect actual usage, and presents you with quantified Recommendations to reduce it. Depending on the Plan, the Service includes:
inventory and analysis of Azure resources (virtual machines, disks, storage, databases, networking and other resource types listed in the Documentation), cost analysis, and the integration of the recommendations published by Microsoft Advisor for your environment;
analysis of Microsoft 365 licenses and usage (inactive seats, oversized licenses, accounts of departed employees that are still billed, Copilot usage and other categories listed in the Documentation);
Recommendations ranked by estimated savings, each setting out the finding, the estimated annual amount and the suggested remediation approach;
reports, a tagging maturity score and budget overrun alerts;
Aurora, which answers your questions in natural language based on your data;
in the Custom Plan only, Automation Rules.
The Service is a decision-support tool. Except for Automation Rules that you have defined yourself, the Service does not modify, delete or resize any resource, license or configuration in your Microsoft Environment. Any implementation of Recommendations is carried out by you, under your control, using your own Microsoft tools.
We continuously improve the Service. We may add, modify or remove features, provided that we do not materially reduce the scope of the Plan you have paid for during the current period. Features labeled “beta” or “preview” are provided on an experimental basis and may be withdrawn without notice.
Article 4 — Account Creation
Opening an account requires a business email address on your company’s domain. Personal email addresses (Gmail, Hotmail, Yahoo and similar services) are not accepted. You agree to provide accurate information and to keep it up to date.
The person who creates the account represents that they have the authority to bind the Customer. That person becomes the account administrator and may invite other Users up to the number included in the Plan.
You are responsible for maintaining the confidentiality of your Users’ login credentials and for all activity under your account. You must notify us promptly at contact@finozio.com of any unauthorized use or security compromise of which you become aware. We will never ask you for your password.
We may refuse to open an account, or suspend it, where the information provided is clearly inaccurate, where the email address used is not a business address, or where the account is used in breach of these Terms.
Article 5 — Access to Your Microsoft Environment
5.1 Your access, and what it allows
To analyze your Microsoft Environment, you create Connection Credentials in your own tenant and assign them read-only roles: the Azure Reader and Cost Management Reader roles on the subscriptions to be analyzed, and read-only Microsoft Graph permissions (usage reports, licenses, users) for Microsoft 365. These roles do not allow anything to be created, modified or deleted. You may also connect your Microsoft account (OAuth): Finozio then acts with your own rights on your Microsoft Environment. On the Custom plan, the automation rules you enable may act on your Azure resources (stopping, resizing, deleting orphaned resources) using the account connected to the subscription: they only write where that account has write rights.
You remain in control of this access at all times: you may restrict it to certain subscriptions, suspend it or revoke it from your Microsoft portal, without having to notify us. Revocation stops the analyses; it does not terminate the Plan subscribed to or affect any amounts due.
You represent and warrant that you are authorized, under your company’s internal policies and your agreements with Microsoft, to grant this access and to provide us with the resulting Customer Data.
5.2 Automation Rules (Custom Plan)
Automation Rules require targeted write permissions, which you grant explicitly and separately from read permissions. They act only on resources that meet the criteria defined by your administrators (for example, releasing a public IP address that has been unattached for more than thirty days). The Service executes these rules as you have written them; you are responsible for their definition, their scope and their consequences in your environment. You may disable any rule at any time.
5.3 Protection of Connection Credentials
The secrets you entrust to us are stored encrypted and used exclusively to provide the Service. We do not share them with any third party. When your account is closed, we delete them in accordance with Article 13.
Article 6 — Plans and Financial Terms
6.1 Plans
The Service is offered under the following Plans. Their exact scope, quotas (number of Users, subscriptions analyzed, manual analyses, volume of Aurora conversations) and current prices are published at finozio.com/offres as of the date of the order:
Free — Inventory Report: free of charge, with no commitment. It provides an inventory of your environment and of its costs; for the orphaned resources it finds, it states what they were actually billed to you over the last thirty days. It contains no savings estimate and no quantified recommendation.
Audit Spring: a one-time engagement, paid once, covering one Azure subscription and a scope of resource types described in the Documentation, with delivery of quantified Recommendations.
Pilot: a one-time purchase giving access to the Service for twelve (12) months from the purchase, including continuous monitoring, Aurora, alerts and reports, within the limits described on the Plans page; it does not renew automatically.
Scale Up: a quote-based Plan, with extended quotas, multi-tenant analysis and enhanced support; its duration and price are set by the quote.
Custom: a quote-based Plan, including Automation Rules, dedicated support and special terms which, in the event of conflict, prevail over these Terms.
6.2 Financial terms
Price, ordering, payment, invoicing, the absence of refunds and the consequences of late or failed payment are governed by the general terms of sale (finozio.com/cgv) in force on the date of the order. The Scale Up and Custom Plans are governed by their quote. The Free Plan involves no payment.
6.3 Quota overages
When your usage reaches a Plan quota (for example, the number of manual analyses in the period or the volume of Aurora conversations), the relevant feature is suspended until the period renews or you upgrade to a higher Plan. No usage-based charges are applied without your prior consent.
Article 7 — Acceptable Use
You agree to use the Service for its intended purpose and in compliance with applicable law. In particular, you must not:
connect to the Service a Microsoft Environment that you do not control or are not authorized to analyze;
resell, rent, sublicense or provide the Service to third parties, except under a written partnership agreement entered into with Finozio;
circumvent the quotas, access controls or limitations of a Plan, or share login credentials among multiple individuals;
decompile, disassemble or attempt to extract the source code, analysis rules or models of the Service, or create derivative works from it;
extract data from the Platform in bulk by automated means other than the exports and APIs provided;
perform penetration, load or vulnerability testing on the Platform without our prior written consent;
use Aurora to generate unlawful or misleading content or content that infringes third-party rights, or attempt to subvert its operation;
introduce malicious code or disrupt the operation of the Service or of other customers.
In the event of a breach, we may suspend all or part of your access to the Service after notice, or immediately where required by the security of the Service or of third parties. We will inform you and restore access as soon as the breach has ceased.
Article 8 — Intellectual Property
8.1 What belongs to Finozio
The Platform, its code, analysis rules, scoring models, interfaces, documentation, brand and logos are the exclusive property of Finozio or its licensors. For the duration of the Plan, these Terms grant you a non-exclusive, non-transferable right to access and use the Service, limited to your internal business purposes. No other rights are granted to you.
8.2 What belongs to you
Customer Data remains your property. For the duration of the Plan, you grant us the right to host, process, analyze and display it solely to the extent necessary to provide the Service to you and to keep it secure. The Recommendations, reports and exports generated for your account may be used freely within your organization and shared with your advisors, auditors and service providers.
8.3 Aggregated data
Finozio may compile aggregated and anonymized statistics (for example, the average share of inactive licenses by industry) from the use of the Service, provided that they do not allow the Customer, its Users or its Microsoft Environment to be identified and that no data identifying a person enters into them. These statistics are the property of Finozio.
8.4 Feedback
If you share suggestions for improvement with us, you authorize us to use them freely, without any obligation or compensation, and doing so does not give you any rights in the Service.
Article 9 — Personal Data
The Service processes two categories of personal data, described in detail in the Privacy Policy:
your Users’ account data (name, business email address, role, sign-in logs), for which Finozio acts as controller;
the personal data contained in Customer Data (your employees’ Microsoft 365 sign-in identifiers, license assignment and usage, resource owners indicated in tags), for which Finozio acts as processor, on your instructions and on your behalf.
For processing carried out as a processor, a data processing agreement compliant with Article 28 of Regulation (EU) 2016/679 (the “GDPR”) (finozio.com/dpa) supplements these Terms. It applies as soon as you connect a Microsoft Environment to the Service, whatever the Plan, including the Free Plan. You represent and warrant that you have a legal basis for entrusting this data to us and that you have informed the data subjects in accordance with applicable regulations.
The Platform is hosted on servers located in the European Union (Amsterdam, Netherlands), and Customer Data is stored in a database located in the European Union (Paris, France). Our application hosting provider is, however, a US company, and some of our sub-processors, including the provider of the language model behind Aurora, process data outside the European Union; such transfers are governed by the standard contractual clauses adopted by the European Commission. The list of our sub-processors, their locations and these safeguards are set out in the Privacy Policy; we will notify you of any change to this list at least thirty (30) days in advance, and you may object on legitimate grounds under the conditions of the data processing agreement.
Aurora relies on a language model provided by a third-party provider. Only the excerpts of Customer Data necessary to answer a question are sent to it, under an agreement that prohibits their use to train models. Conversations with Aurora are retained for one (1) year and then deleted.
We implement appropriate technical and organizational measures: encryption in transit (HTTPS), encryption in the database of the secrets and tokens that access your Microsoft Environment, per-customer data isolation, role-based access control and an audit log of sensitive actions. In the event of a personal data breach affecting you, we will notify you without undue delay after becoming aware of it.
For any question or to exercise your rights: contact@finozio.com.
Article 10 — Warranties and Disclaimers
10.1 Availability
We undertake to provide the Service with due care and in accordance with industry standards, and to use reasonable efforts to keep it available 24 hours a day, 7 days a week, excluding scheduled maintenance, notified where possible, and events of force majeure. No availability rate is guaranteed, unless a quantified commitment is set out in the quote for a Scale Up or Custom Plan. The Free Plan is provided “as is”, with no availability or support commitment.
10.2 No guaranteed savings
The savings amounts presented by the Service are estimates. They are calculated from the data made available by Microsoft, public pricing, existing commitments and usage observed over a recent period. They depend on factors beyond our control: the actual implementation of Recommendations by your teams, and changes in your usage, your agreements and Microsoft pricing. Finozio does not guarantee any amount of savings, any return on investment or any specific financial outcome.
10.3 Nature of Recommendations
Recommendations are provided for information and decision-support purposes only. They do not constitute financial advice, legal advice or a contractual audit of your Microsoft licenses. Before acting, you must review each Recommendation against your technical, contractual and business constraints: a resource that appears inactive may be essential, and a license that appears unused may be required under an agreement.
10.4 Limitations of source data
The Service depends on Microsoft application programming interfaces. The cost and usage data they provide may be delayed by several days, incomplete or retroactively adjusted by Microsoft, and certain resource or license types may not be covered. We do not guarantee the completeness or accuracy of source data, or the continued availability of Microsoft interfaces.
10.5 Aurora
Aurora is based on a language model. Its answers may contain inaccuracies, omissions or misinterpretations, including with respect to figures. They must be verified before any decision is made. Aurora is not a substitute for the expertise of your teams.
10.6 Disclaimer of other warranties
To the extent permitted by law, Finozio makes no other warranty, express or implied, including as to the fitness of the Service for a particular purpose, uninterrupted or error-free operation, or compatibility with undocumented Microsoft configurations.
Article 11 — Limitation of Liability
Finozio is bound by an obligation of means (obligation de moyens), namely a duty to exercise reasonable care and diligence, and not by an obligation to achieve a specific result. To the extent permitted by law, Finozio’s total aggregate liability under these Terms, for all causes combined, is limited to the amount, exclusive of taxes, actually paid by you to us during the twelve (12) months preceding the event giving rise to the claim. For the Free Plan, this liability is limited to one hundred (100) euros.
Finozio shall not be liable for any indirect damages, including loss of revenue, profits, data, business opportunities, customers or reputation, or the cost of procuring substitute services, even if it has been advised of the possibility of such damages.
Finozio shall not be liable for the consequences of: decisions made on the basis of Recommendations or Aurora’s answers; actions taken by your teams in your Microsoft Environment; Automation Rules as defined by you; inaccurate, delayed or incomplete data provided by Microsoft; the unavailability of Microsoft services or of our payment provider; or any use of the Service that does not comply with these Terms or the Documentation.
These limitations do not apply in the event of gross negligence or willful misconduct, personal injury, or where limitation of liability is prohibited by law.
Any claim against Finozio must be brought within twelve (12) months of the event giving rise to it.
Article 12 — Indemnification
You shall indemnify and hold Finozio harmless from and against any third-party claim, action or judgment, together with the related reasonable defense costs, arising from: the connection to the Service of a Microsoft Environment without sufficient authorization; the use of Customer Data or Recommendations in violation of the law or of third-party rights; an Automation Rule defined by you; or a breach of these Terms by your Users.
Finozio shall indemnify you against any third-party claim alleging that the Platform, when used in accordance with these Terms, infringes an intellectual property right in force in France or in the European Union (IP indemnity). In such a case, Finozio may, at its option, obtain the right for you to continue using the Platform, modify the Platform so that it is no longer infringing, or terminate the Plan and refund any amounts prepaid for the unexpired period. This indemnity does not apply to claims arising from Customer Data, from a combination with elements not provided by Finozio, or from non-compliant use.
The indemnified party shall promptly notify the other party of any claim, allow it to control the defense and provide reasonable cooperation. No settlement may be entered into on behalf of the indemnified party without its written consent.
Article 13 — Term, Termination and Data Handling
13.1 Term
These Terms apply from the creation of your account and for the entire duration of the Plan subscribed to. Audit Spring ends upon delivery of the report; its results remain available for as long as your account exists, without any new reading of your data. Pilot ends twelve (12) months after the purchase, without automatic renewal. The duration of the Scale Up and Custom Plans is set by their quote.
13.2 Termination by the Customer
You may stop using the Service at any time, by deleting your account from your workspace or by email to contact@finozio.com. As the Audit Spring and Pilot Plans are paid once, there is no renewal to terminate; amounts already paid remain governed by the general terms of sale. The Scale Up and Custom Plans are terminated in accordance with their quote.
13.3 Termination or suspension by Finozio
We may terminate the Plan in the event of a material breach of Article 7 or of non-payment, if the breach or non-payment has not been remedied within fifteen (15) days of a formal notice sent by email. We may suspend access immediately where required by the security of the Service, of third parties or of your own data, and we will inform you accordingly. Finally, we may terminate a Free Plan, or discontinue it, upon thirty (30) days’ notice.
13.4 Effects of termination
When a paid Plan ends, your account returns to the Free Plan: your account data and Customer Data are kept for as long as the account exists, and you may request from us at any time, by email to contact@finozio.com, an export of your Recommendations and reports in a standard format. Microsoft 365 readings older than thirteen (13) months are deleted automatically, the most recent one being kept. You may request the deletion of your account from your workspace: access is cut immediately, and Customer Data, Connection Credentials and account data are erased seven (7) days after the request, except for data we are required by law to retain (billing data: ten years) and audit logs retained for security purposes (two years). You are responsible for revoking the Connection Credentials in your Microsoft portal.
Articles 8, 9, 10, 11, 12, 15 and 16 survive the termination or expiration of these Terms.
Article 14 — Changes to These Terms
We may amend these Terms. Any material change (scope of the Service, pricing, liability, data) will be notified to you by email at the account administrator’s address at least thirty (30) days before it takes effect. If you do not accept it, you may terminate the Plan before that date at no cost; otherwise, your continued use of the Service constitutes acceptance.
Non-material changes (corrections, clarifications, new features) and changes required by law may take effect upon publication at finozio.com/cgu. The current version and its date appear at the top of the document.
Article 15 — Governing Law and Dispute Resolution
These Terms are governed by French law. As the Service is reserved for business customers, consumer protection provisions do not apply.
In the event of a dispute, the parties shall first seek an amicable resolution: the party wishing to raise the dispute shall notify the other party in writing, and the parties shall have thirty (30) days to meet and attempt to resolve it. The parties may, by mutual agreement, resort to mediation.
Failing an amicable resolution, any dispute relating to the formation, interpretation or performance of these Terms shall be subject to the exclusive jurisdiction of the courts of Paris, even in the event of multiple defendants or third-party claims for indemnity (appel en garantie), and including for emergency or protective proceedings.
Article 16 — General Provisions
Entire agreement — These Terms, the Privacy Policy, the data processing agreement and, where applicable, the quote or special terms of the Custom Plan constitute the entire agreement between the parties and supersede all prior communications. The Customer’s general purchasing terms are not enforceable against Finozio.
Order of precedence — In the event of conflict: the signed special terms prevail, followed by the quote, then these Terms, then the Documentation.
Confidentiality — Each party shall keep confidential the other party’s non-public information to which it has access in connection with the Service (for Finozio: Customer Data and your business information; for you: negotiated pricing terms, the product roadmap and non-public elements of the Platform), for the duration of the Plan and for five (5) years thereafter.
Customer reference — Finozio names the Customer or displays its logo as a reference, on its website or in its marketing materials, only with the Customer’s prior written consent. The Customer may withdraw this consent at any time by email to contact@finozio.com.
Assignment — You may not assign these Terms without our written consent. Finozio may assign them to an affiliate or to the acquirer of its business, upon notice to you.
Subcontracting — Finozio may use subcontractors for hosting, payment processing, email delivery and Aurora’s language model, under the conditions set out in Article 9; Finozio remains liable to you for the performance of the Service.
Force majeure — Neither party shall be liable for any failure caused by an event of force majeure within the meaning of Article 1218 of the French Civil Code, including a prolonged unavailability of Microsoft services beyond Finozio’s control.
Notices — Notices are validly given by email: to the account administrator’s address for you, and to contact@finozio.com for us.
Severability — If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the provision concerned shall be replaced by a valid provision of equivalent effect.
No waiver — A party’s failure to enforce a breach does not constitute a waiver of its right to enforce it at a later time.
Language — These Terms are drafted in French. In the event of any discrepancy with a translation, the French version shall prevail.
Evidence — Logs, timestamps and records kept by Finozio under reasonable security conditions shall be admissible as evidence between the parties and shall be presumed accurate, absent proof to the contrary.
